PepSource Affiliate Programme — Terms
1. The programme
These terms govern participation in the PepSource Affiliate Programme (the "Programme"), operated by PepSource ("we", "us", "our"), trading at pepsource.co.uk. By applying to and taking part in the Programme, you ("Affiliate", "you") agree to be bound by these terms. Where these terms conflict with any general marketing material about the Programme, these terms take priority.
2. Eligibility & applications
To apply you must be at least 18 years old and provide accurate, complete information about yourself and how you intend to promote PepSource. Every application is reviewed manually before approval. We may decline or delay any application at our sole discretion, including where an applicant's audience, content or promotional methods are not a good fit for a research-use-only product range. Approval is not guaranteed and no fee is payable to apply.
3. Commission
Approved affiliates earn commission of 15% of the order subtotal, calculated after discounts and excluding shipping charges, taxes and any payment processing fees, on every order that is correctly attributed to them. Orders are attributed either through a 30-day last-click referral cookie set when a visitor follows your unique link, or through use of your personal discount code, whichever applies. Commission applies to both first-time and repeat orders placed by a customer within the attribution window.
4. Payment
Commission is paid monthly by PayPal. To receive a payout, your cleared commission balance must reach at least £25; balances below this threshold roll over to the following month. Commission on any individual order clears 30 days after that order is placed, to allow for the standard returns window, and only cleared commission is included in a payout. You are responsible for declaring and paying any tax due on payments received under the Programme in your own jurisdiction.
5. Reversals
Commission is only payable on completed, settled orders. Where an order is refunded, cancelled, charged back by the customer's card issuer or payment provider, or where a parcel is not collected and is returned to us, the commission associated with that order will be reversed and deducted from your balance. Where suspected fraudulent activity is identified in connection with an order, the associated commission will also be reversed pending investigation.
6. Customer discount
Your personal discount code gives a customer's first order 10% off. Only one discount code may be applied per order, so your code cannot be combined or stacked with any other promotional code, sale or offer running on the store.
7. Promotion rules — research use only
All products sold by PepSource are supplied strictly for laboratory research use. You must not, under any circumstances, make medical, therapeutic, dosing or human-consumption claims about any product, and you must always describe products accurately as research compounds intended for qualified researchers and institutions. You are responsible for ensuring your promotional activity complies with applicable UK advertising rules, including guidance from the Advertising Standards Authority, and with the policies of any platform you use to promote us.
8. Prohibited conduct
The following activities are not permitted under the Programme and may result in forfeiture of unpaid commission and termination of your affiliate status: placing orders through your own referral link or discount code (self-referral); bidding on PepSource brand terms or close variants in paid search advertising; listing your code on coupon, voucher or deal-aggregation sites; sending unsolicited bulk messages (spam) to promote your link or code; making misleading claims about our products or the Programme; misusing PepSource trademarks, logos or brand assets beyond what we provide; and cookie stuffing or any other technique designed to generate false attribution.
9. Intellectual property
We may provide you with approved brand assets, such as logos, product images and banners, for use in your promotional activity. We grant you a limited, non-exclusive, non-transferable licence to use these assets solely to promote PepSource under the Programme, for as long as you remain an active affiliate. All intellectual property in PepSource's brand, products and provided assets remains our property at all times.
10. Relationship
You take part in the Programme as an independent contractor. Nothing in these terms creates a partnership, joint venture, agency or employment relationship between you and PepSource, and you have no authority to make commitments or enter into agreements on our behalf.
11. Termination
Either party may end the affiliate relationship at any time, for any reason, by giving notice. Where we terminate your participation for a breach of these terms, you forfeit any unpaid commission accrued at that point. Clauses relating to commission reversals, intellectual property, liability and governing law survive termination of the relationship.
12. Data & privacy
Any personal data you provide as part of your application or participation in the Programme is handled in accordance with our privacy policy. If your promotional activity involves marketing communications, you must comply with UK GDPR and the Privacy and Electronic Communications Regulations (PECR), and you must clearly disclose your affiliate relationship with PepSource in line with Advertising Standards Authority and Competition and Markets Authority guidance, for example by including "#ad" on relevant posts.
13. Liability
The Programme is provided on an as-is basis and we make no guarantee as to the volume of traffic, orders or commission you may generate. To the fullest extent permitted by law, our total liability to you arising out of or in connection with the Programme is limited to the total commission paid to you in the 12 months preceding the event giving rise to the claim.
14. Changes
We may amend these terms from time to time. Where we make a material change, we will give at least 14 days' notice by email or via your affiliate dashboard before the change takes effect. Continued participation in the Programme after that point constitutes acceptance of the updated terms.
15. Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.
